1. Agreement
By using adg.ac or engaging ADG services, you agree to these Terms. If you sign a Statement of Work or Order Form with ADG, that document prevails over conflicts with this ToS.

2. Services
ADG provides data and infrastructure services including: crypto market intelligence, testnet nodes, RPC and DataOps, anomaly detection, predictive industrial analytics, data preparation, OpenTofu migrations, resilience and compliance sprints. ADG does not hold client funds, is not an exchange or custodian, and does not run ICOs/IEOs.

3. Eligibility and accounts
You must be a business user with authority to contract. You are responsible for account credentials, API keys and access granted to ADG.

4. Orders and scope
Scope, deliverables, timeline and fees are defined in an Order Form or SOW. Changes are handled via change requests. Unless stated otherwise, timeframes are estimates and dependent on timely client inputs and access.

5. Fees and payment
Invoices are due within [14/30] calendar days. Late amounts may accrue [1.5%] monthly interest or the maximum allowed by law. You are responsible for taxes, withholdings and bank fees.

6. Client obligations
Provide accurate information, timely approvals and secure access to environments or exports. You warrant that your data and use of ADG services comply with applicable laws and third-party terms.

7. Security
ADG uses reasonable administrative, technical and physical safeguards. For regulated or on-prem projects, security controls are defined in the SOW. Secrets must be exchanged via approved secure channels only.

8. Data handling
ADG processes Client Data as a processor to deliver the services, per the Privacy Policy and any signed Data Processing Addendum (DPA). Unless agreed, ADG prefers client-controlled storage and removes working copies after delivery or at contract end.

9. No financial or investment advice
Content and outputs are for informational and operational purposes only. ADG does not provide investment, legal or tax advice. Trading and deployment decisions remain your responsibility.

10. Acceptable use
Do not use the services to violate law, infringe IP, bypass security, harm networks, scrape in breach of target site terms, or build competing services using ADG confidential information.

11. Intellectual property
Each party retains pre-existing IP. Unless agreed, deliverables created by ADG under a paid SOW are licensed to you for internal business use. ADG may use generalized know-how, skills and non-identifying learnings.

12. Open source and third-party tools
Services may use open source or third-party software under their licenses. Where required, ADG will disclose license notices. You agree to comply with third-party terms tied to your selected stack.

13. Publicity
ADG may use your name and logo in client lists unless you opt out in writing. Case studies require separate written approval.

14. Warranties
ADG warrants it will perform services with reasonable skill and care. Except as stated, services are provided “as is”. ADG disclaims implied warranties of merchantability, fitness and non-infringement.

15. Limitation of liability
To the maximum extent permitted by law, ADG is not liable for indirect, incidental or consequential damages, including lost profits or data. ADG’s aggregate liability for all claims is capped at the fees paid for the 6 months preceding the event giving rise to the claim.

16. Indemnity
You will indemnify ADG against third-party claims arising from your data, instructions or unlawful use of the services. ADG will indemnify you for claims that ADG’s deliverables, as supplied, infringe third-party IP, subject to standard defenses and your prompt notice.

17. Termination
Either party may terminate for material breach not cured within 30 days or for convenience with [30] days’ notice if allowed by the SOW. Upon termination, you pay for work performed and accrued resource costs. Sections intended to survive will survive.

18. Export, sanctions and anti-corruption
You will not use services in violation of export, sanctions or anti-corruption laws. ADG may suspend performance if an engagement poses compliance risk.

19. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, provided the affected party mitigates and resumes performance when possible.

20. Governing law and dispute resolution
This ToS is governed by Hong Kong SAR law. Disputes will be submitted to the exclusive jurisdiction of Hong Kong courts. If you are in the EU or UK, your statutory data protection rights remain governed by GDPR/UK GDPR as applicable.

21. Changes
ADG may update this ToS for legal or operational reasons. Material changes will be posted with a new effective date. Continued use after changes means acceptance.
